Board Governance Redesign for National Professional Association

Client: A national healthcare association with one 10,000 members and annual revenue of $8.5M

Challenge: Board meetings consistently ran 6+ hours but rarely produced committed decisions. Action items from one meeting would reappear unchanged at the next. Volunteer board members were burning out on process rather than advancing the association’s mission. The executive director needed decisions on AI member services but couldn’t get board alignment.

What We Did: Mapped stakeholder dynamics across board members, staff, and key committees. Redesigned the board meeting structure to separate discussion from decision-making. Facilitated three sessions over four months: strategy alignment, governance redesign, and AI services decision-making.

Outcome:

  • • Board meetings reduced from 6 hours to 3.5 hours
  • • Decision-making time decreased from 3 meetings to 1 meeting average
  • • Board approved AI member guidance framework in single session
  • • 8 of 12 board members reported “significantly improved” meeting effectiveness
